Last updated: September 2026
1. About Us
1.1 These Terms and Conditions apply to orders placed with Trade Beds Direct Limited (“Trade Beds Direct”, “we”, “us” or “our”) through our website, by telephone, by email, by invoice or by any other agreed method.
1.2 By placing an order with us, you agree to be bound by these Terms and Conditions.
1.3 Trade Beds Direct primarily supplies goods to businesses, including landlords, property managers, hotels, care providers, educational establishments, accommodation providers, developers, retailers and other commercial organisations.
1.4 Where you purchase goods wholly or mainly for purposes relating to your trade, business, craft or profession, you are treated as a Business Customer under these Terms.
1.5 Where you are legally purchasing as a consumer, nothing in these Terms affects or limits your statutory consumer rights.
2. Orders and Contract Formation
2.1 Placing an order constitutes an offer to purchase goods or services from us.
2.2 An order is not accepted until we have confirmed acceptance of the order or otherwise commenced fulfilment of it.
2.3 You are responsible for checking all details contained within quotations, order confirmations and invoices, including:
-
product;
-
colour;
-
size;
-
quantity;
-
specification;
-
delivery address;
-
delivery service; and
-
any installation or assembly requirements.
2.4 Any errors must be brought to our attention as soon as possible.
2.5 We reserve the right to decline or cancel an order before dispatch where:
-
a product is unavailable;
-
there has been an obvious pricing or description error;
-
payment has not been received or authorised;
-
agreed credit terms have been exceeded; or
-
we are unable reasonably to fulfil the order.
2.6 Images on our website are provided for illustrative purposes. Colour, grain, fabric appearance, stitching, ticking and other minor characteristics may vary between production batches and screens.
3. Prices and Payment
3.1 Unless expressly stated otherwise, prices quoted to Business Customers are exclusive of VAT.
3.2 VAT will be charged at the applicable rate.
3.3 Payment must be made in accordance with the terms stated on the quotation, invoice or account agreement.
3.4 Where credit terms have been granted, payment must be made by the agreed due date.
3.5 We reserve the right to suspend further deliveries or withdraw credit facilities where invoices become overdue.
3.6 Any credit facility is provided at our discretion and may be reviewed, reduced or withdrawn at any time.
3.7 Ownership of goods does not pass to a Business Customer until we have received payment in full for those goods.
4. Product Availability and Lead Times
4.1 All goods are subject to availability.
4.2 Lead times provided before or after an order are estimates unless expressly agreed by us in writing as a guaranteed delivery date.
4.3 Some goods are supplied by third-party manufacturers or are imported. Delays may occur due to circumstances outside our reasonable control, including:
-
shipping delays;
-
port delays;
-
customs clearance;
-
supplier delays;
-
production delays;
-
carrier delays;
-
adverse weather;
-
vehicle breakdown;
-
industrial action; or
-
other events outside our reasonable control.
4.4 Where we become aware of a significant delay, we will endeavour to notify you as soon as reasonably possible.
4.5 Business Customers should not arrange contractors, dispose of existing furniture, commit to installation dates or incur other costs in reliance upon an estimated delivery date.
5. Bespoke, Custom and Made-to-Order Goods
5.1 Products manufactured or altered to a customer's specification are bespoke goods.
5.2 These may include:
-
custom-size mattresses;
-
non-standard dimensions;
-
specially manufactured furniture;
-
customised fabrics or colours;
-
specially ordered products; and
-
goods altered at the customer's request.
5.3 Bespoke goods cannot be cancelled once production has commenced and cannot be returned because the customer has changed their mind.
5.4 This does not affect any rights relating to goods that are faulty, damaged or materially different from the agreed specification.
6. Delivery
6.1 Delivery services vary depending upon the product, location and delivery method selected.
6.2 Unless a room-of-choice or two-person delivery service has specifically been purchased, deliveries may be made to the first accessible ground-floor entrance.
6.3 Larger items may require assistance from the customer to unload.
6.4 The customer must ensure:
-
suitable vehicle access is available;
-
any parking restrictions have been disclosed;
-
the delivery location is safe and accessible;
-
adequate assistance is available where required; and
-
items can physically fit through entrances, stairways and corridors.
6.5 We are not responsible for a delivery being unsuccessful because goods will not fit into the property or through the intended access route.
6.6 Additional charges may apply where delivery fails because:
-
nobody is available to receive the order;
-
incorrect delivery information has been provided;
-
access is unsuitable;
-
delivery is refused without valid reason; or
-
the customer requests a change after dispatch.
6.7 Where a delivery date or address is changed after the goods have entered the carrier network, reasonable additional carrier or administration charges may be payable.
7. Delivery Inspection
7.1 Customers should inspect packages at delivery wherever reasonably possible.
7.2 Obvious transit damage should be noted on the carrier's delivery documentation and photographed.
7.3 Where severe visible damage is apparent, customers should contact us before assembling the product.
7.4 Where damage is discovered after delivery, please notify us promptly and provide:
-
photographs of the packaging;
-
photographs of the damage;
-
photographs showing the complete product;
-
the order or invoice number; and
-
any other information reasonably required to investigate the matter.
7.5 Customers should retain all packaging until they are satisfied that the goods are correct and undamaged.
8. Assembly
8.1 Flat-packed goods should be checked for visible damage, missing parts and obvious manufacturing issues before assembly begins.
8.2 If you believe an item is damaged, incorrect or defective, you should stop assembly and contact us before continuing wherever reasonably possible.
8.3 Damage caused by incorrect assembly, misuse, modification, unsuitable fixings or failure to follow the manufacturer's instructions is not considered a manufacturing fault.
8.4 Where assembly has been undertaken by Trade Beds Direct or one of our contractors, any concern regarding the assembly service should be reported to us as soon as reasonably possible so that we can inspect and, where appropriate, rectify the issue.
9. Change-of-Mind Returns – Business Customers
9.1 Business Customers do not have an automatic statutory right to return goods simply because they have changed their mind.
9.2 However, as a goodwill policy, we may accept returns of eligible standard-stock products where written notification is provided within 14 calendar days of delivery.
9.3 Any return under this goodwill policy must be authorised by Trade Beds Direct before the goods are sent or collected.
9.4 To qualify for a change-of-mind return, goods must:
-
be unused;
-
be unassembled;
-
be undamaged;
-
be complete with all components, fittings and instructions;
-
be in their original packaging; and
-
be in a condition which allows us reasonably to resell the goods as new.
9.5 Assembled Furniture
Once flat-packed furniture has been fully or partially assembled, we will not accept it as a change-of-mind return.
Assembly may leave screw marks, fixing marks, compression marks, alignment marks or other evidence of use and means the item can no longer reasonably be sold by us as a new, unused product.
This restriction applies whether the furniture was assembled by:
-
the customer;
-
a tenant;
-
a third-party installer;
-
a contractor; or
-
Trade Beds Direct at the customer's request.
This restriction does not affect any rights relating to a genuine manufacturing defect or goods that do not conform to the contract.
9.6 Original Packaging
Original packaging must be retained where a customer may wish to return an item.
Goods must be securely repacked in their original cartons and protective packaging wherever originally supplied in this way.
We reserve the right to refuse a change-of-mind return where the original packaging has been disposed of or where the goods cannot reasonably be transported or resold safely because suitable packaging is unavailable.
9.7 Resaleable Condition
Returned goods must be suitable for resale as new.
We may refuse a return or make a reasonable deduction where goods have been:
-
assembled;
-
used;
-
marked;
-
scratched;
-
chipped;
-
stained;
-
modified;
-
drilled;
-
fixed to a wall;
-
inadequately repackaged;
-
damaged during disassembly; or
-
otherwise reduced in value.
10. Return Transport and Collection Charges
10.1 The customer is responsible for arranging and paying for the return of change-of-mind goods.
10.2 Customers may return authorised goods to our warehouse by prior arrangement.
10.3 Where requested, we may arrange collection using our own vehicles or a third-party carrier.
10.4 Collection is chargeable and the price will depend upon:
-
the product;
-
number of items;
-
dimensions;
-
weight;
-
location; and
-
collection method required.
10.5 Any collection charge will be confirmed before the collection is arranged.
10.6 Collection charges for change-of-mind returns may be deducted from the refund.
10.7 The customer remains responsible for ensuring returned goods are suitably packaged for transportation.
10.8 We are not responsible for damage resulting from goods being inadequately packaged by the customer.
11. Refunds
11.1 Refunds for authorised returns will normally be processed after the returned goods have been received and inspected.
11.2 We reserve the right to inspect returned goods before confirming the final refund amount.
11.3 Where goods have suffered damage, deterioration or loss in value as a result of the customer's handling, use or inadequate packaging, any deduction will reflect the actual reduction in value where permitted by law.
11.4 Refunds will normally be made using the original payment method where practical.
11.5 Where payment was made by bank transfer or where refunding to the original method is not reasonably possible, we may request bank details.
11.6 We will never ask you to provide online banking passwords, PIN numbers or full card security details.
12. Assembly and Installation Charges
12.1 Assembly, installation, room placement, removal and similar services are separate from the supply of the goods.
12.2 Once an assembly or installation service has been completed, the charge for that service is non-refundable where the service was properly performed.
12.3 Cancellation or return of the associated furniture does not automatically entitle the customer to a refund of a service which has already been carried out.
12.4 If a customer cancels an assembly service before it has been performed, any refund will depend upon whether costs have already reasonably been incurred in arranging the service.
12.5 Nothing in this clause removes any rights arising where an assembly service was not carried out with reasonable care and skill.
13. Faulty or Damaged Goods
13.1 If you believe goods are faulty or have a manufacturing defect, please contact us before disposing of, modifying, repairing or continuing to assemble them.
13.2 We may request photographs, videos or other reasonable evidence to establish the nature and cause of the reported issue.
13.3 Depending upon the circumstances, we may:
-
provide replacement components;
-
arrange a repair;
-
replace the item;
-
arrange an inspection; or
-
provide another appropriate remedy.
13.4 Where a defect can reasonably be resolved by replacing a component or carrying out a repair, we reserve the right to offer that remedy before replacing the complete product, subject always to any applicable statutory rights.
13.5 A product will not normally be considered defective solely because of:
-
minor cosmetic variation within normal manufacturing tolerances;
-
natural differences in wood grain or fabric;
-
minor colour variation between batches;
-
normal settlement of upholstery;
-
damage caused after delivery;
-
incorrect assembly;
-
misuse;
-
overloading;
-
inadequate maintenance;
-
modification; or
-
installation on an unsuitable or uneven surface.
13.6 Nothing in these Terms limits any statutory rights which cannot legally be excluded.
14. Missing or Incorrect Parts
14.1 Where furniture is supplied flat-packed and a component is missing, damaged or incorrect, customers should contact us before attempting to modify the product.
14.2 Where appropriate, we may provide the replacement component rather than replace the complete product.
14.3 The customer must provide sufficient information to allow us to identify the required component, which may include photographs and instruction-manual part numbers.
15. Consumer Customers
15.1 If you are purchasing as a consumer rather than for business purposes, statutory consumer legislation may give you rights in addition to these Terms.
15.2 Nothing within these Terms is intended to exclude or restrict rights which cannot legally be excluded.
15.3 In particular, consumers purchasing at a distance may have statutory cancellation rights.
15.4 Where those statutory rights apply, provisions within these Terms concerning Business Customer change-of-mind returns do not override those rights.
15.5 Where permitted by law, a consumer may be responsible for any reduction in the value of goods caused by handling beyond what is reasonably necessary to establish the nature, characteristics and functioning of the goods.
16. Commercial Use
16.1 Unless expressly stated otherwise, our products must be used in accordance with their intended purpose and specification.
16.2 The customer is responsible for determining whether a product is appropriate for their intended environment, including hotels, HMOs, care settings, educational establishments or other commercial accommodation.
16.3 Where specific fire regulations, contract specifications or other compliance requirements apply, the customer should confirm these requirements with us before placing the order.
17. Warranty
17.1 Any manufacturer's or Trade Beds Direct warranty is in addition to any rights which cannot legally be excluded.
17.2 Warranty periods vary between products.
17.3 Warranties do not cover:
-
accidental damage;
-
misuse;
-
normal wear and tear;
-
incorrect assembly;
-
damage caused by moving assembled furniture;
-
unauthorised alterations;
-
commercial use where the product was not designed for commercial use;
-
improper storage;
-
water damage unless expressly covered;
-
infestation; or
-
damage caused by unsuitable foundations or flooring.
18. Risk and Responsibility
18.1 Risk in goods passes to a Business Customer once delivery has been completed at the agreed delivery location.
18.2 Where the customer instructs us or the carrier to leave goods unattended, the goods are left at the customer's risk once delivered in accordance with those instructions.
18.3 Customers are responsible for taking reasonable care of goods following delivery.
19. Limitation of Liability – Business Customers
19.1 Nothing in these Terms excludes liability where it would be unlawful to do so.
19.2 Subject to clause 19.1, we shall not be liable to a Business Customer for:
-
loss of profit;
-
loss of revenue;
-
loss of business;
-
loss of contracts;
-
loss of anticipated savings;
-
loss of goodwill;
-
loss of rental income; or
-
indirect or consequential loss.
19.3 Business Customers are responsible for arranging their own operations so that reasonable delivery delays or product issues do not cause avoidable consequential losses.
20. Force Majeure
20.1 We shall not be responsible for delays or failure to perform our obligations where caused by events outside our reasonable control.
20.2 These may include transport disruption, port closures, shipping delays, supplier failures, industrial action, severe weather, natural disasters, government restrictions, war, civil unrest or other comparable events.
21. Cancellation by Us
21.1 We may cancel an order where:
-
goods are unavailable;
-
a supplier discontinues the product;
-
an obvious pricing error has occurred;
-
payment has not been received;
-
credit terms have been exceeded;
-
fulfilling the order would be unlawful; or
-
circumstances outside our reasonable control prevent fulfilment.
21.2 Where we cancel goods which have been paid for but not supplied, any amount paid for those cancelled goods will be refunded.
22. Governing Law
22.1 These Terms and any dispute arising from them are governed by the laws of England and Wales.
22.2 Business Customers agree that the courts of England and Wales shall have jurisdiction in relation to disputes arising from the contract.
